Terms and Conditions

Effective: September 1, 2026

These Terms and Conditions (the “Agreement”) explain and define the rights and responsibilities for use of Xyngenta.com and all content, services, and products available at or through the website. The website is operated by Xyngenta LLC (the “Company,” “Xyngenta,” “we,” or “us”).

The website is offered subject to your acceptance without modification of this Agreement and all other operating rules and policies published by Xyngenta, including the Privacy Policy, the Earnings Disclaimer, and the Compensation Plan. These Terms apply to visitors and to all member tiers: Free, Silver Partner, and Gold Partner.

Please read this Agreement carefully before accessing or using the website. By accessing or using any part of the website, you agree to be bound by this Agreement. If you do not agree to all of its terms, you may not access the website or use the services. If these Terms are considered an offer by Xyngenta, acceptance is expressly limited to these Terms.

1. Your Xyngenta account

You are fully responsible for all activities that occur under your account and for any other actions taken in connection with it. You must immediately notify Xyngenta of any unauthorized use of your account or any other breach of security. Xyngenta will not be liable for acts taken through your account as a result of your failure to safeguard your credentials, including damages incurred as a result of another person using your identification and password.

It is your responsibility to safeguard the password you use to access the website and to promptly advise us if you suspect that your password has been compromised. We strongly encourage you to change your password regularly. Because your account credentials are specific to you, you acknowledge sole responsibility for all use of the website conducted with them.

A. Age of majority. To become a Free member, Silver Partner, or Gold Partner, an applicant must have reached the age of majority, usually eighteen (18) years of age, in the jurisdiction in which the applicant resides.

B. Activation. A member is authorized to use the applicable member features when the Company accepts the registration or upgrade submitted through a join or upgrade page and, for a paid tier, when the required payment has been successfully processed.

C. Acceptance and renewal. The right to accept, renew, suspend, or deny any account remains solely with the Company, subject to applicable law.

D. Accurate information. You must provide accurate information and promptly report changes affecting your account. If the Company determines that a member submitted materially inaccurate or false information, it may suspend or terminate the account or declare the member agreement void from its beginning, subject to applicable law.

E. Business entities. If a member is a business entity, the Company may reasonably require documentation identifying the entity, its beneficial owners, and its authorized signatories, which may include organizational or charter documents.

F. Identification and tax information. Xyngenta does not require a Social Security number or Employer Identification Number during ordinary registration. If identification or tax information is legally required for payment processing, tax reporting, identity verification, or another specific lawful purpose, the Company will request it separately for that purpose. Failure to provide legally required information may result in delayed payment, rejection of an application, withholding where required, or cancellation.

G. Membership fees. No purchase is required to maintain a Free account. Silver Partners and Gold Partners must maintain the applicable monthly membership described in Section 6.

H. No exclusive territory. Membership does not grant an exclusive franchise or territory, and a member may not claim otherwise.

I. Billing questions and chargebacks. If you believe a charge is wrong, contact support@xyngenta.com first so the Company can investigate and correct a verified billing error. Correcting a processor or account error is not a promise to refund an otherwise final sale. Initiating a chargeback for an amount you agreed to pay may result in suspension or termination and recovery of amounts properly owed, to the extent permitted by law.

2. Member responsibilities

A. Independent contractor. A Free member, Silver Partner, or Gold Partner is an independent contractor, not an employee, agent, partner, joint venturer, or franchisee of the Company, and is responsible for the member’s own business expenses, decisions, taxes, insurance, and actions.

B. Independent business. A member’s work hours, business expenditures, and business plans are not dictated by the Company. A member shall make no printed or verbal representation stating or implying otherwise.

C. Member statements. A member is fully responsible for verbal and written statements the member makes about the products, services, and Compensation Plan that are not expressly contained in official Company materials. The member agrees to indemnify the Company against claims, damages, and expenses, including attorneys’ fees, arising from representations or actions outside the scope of this Agreement. This subsection survives termination.

D. Effort and sales. Achieving success as a member requires time, effort, commitment, and regular sales of products and services. Sponsoring alone does not guarantee success.

E. Detrimental conduct. If the Company determines that a member’s conduct is injurious, disruptive, fraudulent, unlawful, or harmful to the Company or other members, the Company may take appropriate action under Sections 13 and 14.

F. Professional advice and insurance. The Company does not provide legal, tax, financial, or insurance advice. Members are encouraged to consult their own qualified advisers about their independent businesses and personal liability.

G. Sponsor and downline visibility. Member usernames, sponsorship relationships, tier or rank where displayed by the platform, and sponsor/downline structure are visible to other members in the back office for operating the platform and Compensation Plan. This visibility does not authorize use of another member’s information for spam, harassment, or an unrelated purpose.

H. Notice of claims. A member shall promptly notify the Company in writing of any potential or actual third-party legal claim against the member arising from or associated with the member’s Xyngenta business or downline organization that may adversely affect the Company. The member shall cooperate with the Company and shall not interfere with a Company-controlled defense or settlement.

I. Testimonials and submitted media. If a member voluntarily provides a testimonial or knowingly participates in a Company photo, audio, or video recording, the member grants the Company a royalty-free right to use and republish the submitted or recorded material, in whole or in part, for marketing, advertising, promotion, and publicity in any current or future medium, to the extent permitted by law. The member confirms that a testimonial the member provides is truthful and accurate to the best of the member’s knowledge.

J. International activity. A member may conduct business only where the member may lawfully do so and where the Company makes the relevant services available. The member is responsible for complying with all national and local laws, ordinances, and regulations. A member may not seek governmental approval, licensing, product or service registration, trademark or domain registration, or establish a business on behalf of the Company in another country without the Company’s prior written approval.

Members will:

Members will not:

Internet and social promotion. Members may use Company-provided referral links, capture pages, banners, and approved materials, and may promote truthfully through their own websites and social accounts. A member who promotes the business opportunity must identify the member’s independent status where required, must not use spam, false reviews, misleading keywords or metadata, or unsubstantiated claims, and must promptly remove or modify material when the Company reasonably requires it for legal or policy compliance.

3. User content and unacceptable use

If you post material, submit an advertisement, publish a page, post a link, send a member message, or otherwise make material available through the website, you are entirely responsible for that content and any harm resulting from it, whether the content is text, graphics, audio, video, or software.

By making content available, you represent and warrant that:

By submitting content for inclusion in a Company service, you grant Xyngenta a worldwide, royalty-free, non-exclusive license to reproduce, modify for formatting or technical operation, adapt, publish, and distribute the content solely as needed to operate, display, deliver, and promote the service and your account as directed through the platform. If you delete content, Xyngenta will use reasonable efforts to remove it from the website, but cached copies or references may not become unavailable immediately.

Without limiting the representations above, Xyngenta may, in its sole reasonable discretion, refuse or remove content that violates a Company policy or is harmful or objectionable, and may terminate or deny access to an individual or entity for a violation of this Agreement.

The following activities are strictly prohibited:

4. Fees, payment, and refunds

Optional paid services and products are available through the website. By selecting a paid service or product, you agree to pay Xyngenta the fees shown for it. An initial payment is charged when you sign up or purchase and covers the period or product stated at checkout.

All sales are final. Membership fees, advertising purchases, credit packs, Featured placements, Partner fees, and all other digital products and services sold by Xyngenta are non-refundable. Cancelling a subscription stops future renewals; it does not refund the current period or any prior period.

This Section does not prevent the Company from correcting a verified duplicate charge, processor error, or amount charged contrary to the price shown at checkout. A correction of an erroneous charge is not a general right to a refund for a completed digital purchase.

5. Membership billing, cancellation, and the matrix

Recurring billing. Silver Partner membership is $25 per month and Gold Partner membership is $40 per month, plus the processing fee disclosed at checkout. Paid memberships are billed in advance on a recurring basis through the member’s chosen payment method or payment processor until cancelled.

How to cancel. A member may cancel at any time through the billing portal linked from the member Dashboard or by contacting support@xyngenta.com. Cancellation stops future renewals. Unless the account is terminated for breach, fraud, nonpayment, or another reason stated in this Agreement, paid-tier access continues through the end of the paid period.

Free members and the matrix. Free members hold no matrix position. When a member’s recorded tier becomes Free—by cancellation taking effect, failed payment, expiration without renewal, or Company/Admin action—the member is removed from the matrix. Positions below the removed member shift upward and the tree compresses under the remaining matrix structure. No member has a right to a particular matrix position.

Fresh placement. If a person whose position was removed later joins again or upgrades, the person receives a fresh placement under the placement rules then in effect. The former position, and any position or downline arrangement attached to it, cannot be restored.

Failed-payment grace period. If a renewal charge fails, the member has 24 hours from the first failed charge—or a different grace window then published in the back office or by Admin at the time of failure—to pay the outstanding amount or update the payment method. If payment succeeds within the window, the membership continues. If it remains unpaid after the window, the Company may cancel the subscription through the payment processor, the member’s tier becomes Free, and the matrix rules in this Section apply. A later payment does not automatically restore a cancelled subscription or former matrix position; the person may subscribe again under the terms and placement rules then in effect.

Credits. Xyngenta credits are platform units used to purchase advertising and other platform items that accept credits. Credits are not money, have no cash value, and are not transferable or withdrawable. Cash earnings under the Compensation Plan are tracked separately from credits. See the Earnings Disclaimer for additional information.

6. Compensation

Members may participate in the compensation program as outlined on the Compensation Plan page of the website. Commissions are calculated and paid as outlined on that page and under this Section.

All members understand before joining or purchasing any product or service that there is NO GUARANTEED EARNINGS. Content on the website that illustrates plan rates, platform growth, examples, or possible calculations is for demonstration of how the plan works and is not a representation or promise of commissions that a member will receive.

Members should not participate in Xyngenta under the expectation of earning income without selling products or services or referring customers who purchase products or services. Neither Xyngenta nor any member can guarantee “spillover” or earnings simply because a person becomes a Free member, Silver Partner, or Gold Partner.

Although it is possible, a member should not expect to make a profit simply by becoming a member, and it is very possible that no profit will occur. Xyngenta cannot guarantee that a member will earn a profit by implementing training or promotional materials. Those materials are educational only. No member should spend money the member cannot afford to lose on products, advertising materials, services, or anything else related to Xyngenta. It is possible that a member will earn no income from Xyngenta.

A. Earnings. Commissions are available to members who qualify under the Compensation Plan and are in compliance with this Agreement. A member’s success is achieved through the member’s personal efforts and the regular and repeated sale of products and services by the member and the member’s downline organization. The Company does not guarantee any level of profit or success and does not guarantee a specific income. A member does not receive compensation merely for sponsoring or recruiting another member. Commissions are earned only through qualifying sales of products and services.

B. Qualifying payments. Commissions are calculated on qualifying product, service, and membership orders that are received by the Company before the end of the applicable commission period and have been fully paid by an authorized payment method.

C. Recording and payout. Cash earnings are recorded in the member’s account and are visible in Dashboard → Earnings. Payout methods, schedules, eligibility requirements, and any minimums are those published in the back office at the time of payout. The Company may require information reasonably necessary to make a payout and may separately request identification or tax information when legally required.

D. No manipulation. Manipulation of the Compensation Plan is prohibited and may result in suspension of commissions, reversal of unpaid entries, or termination. Manipulation includes creating or using false or duplicate accounts, purchasing to qualify for ranks or commissions through transactions that are not bona fide sales through the direct marketing channel, placing orders in a downline organization to manipulate compensation, and actions that may violate state, federal, or foreign anti-pyramid-scheme laws.

E. Deductions and offsets. Members authorize the Company to offset against commissions amounts the member owes the Company, including applicable fees, chargeback amounts, overpayments, duplicate or erroneous entries, and amounts required to be withheld by law.

7. Advertising

Advertisers are solely responsible for their advertising content, claims, images, links, landing pages, targeting selections, and compliance with applicable laws and third-party rights. An advertiser must have all rights necessary to use the content it submits.

The Company may review, reject, pause, or remove an advertisement, creative, campaign, Partner listing, or Featured order that violates this Agreement, Company policy, technical requirements, or applicable law. Guest Featured orders are subject to Company review before display.

An advertising product provides the placement, period, inventory, or service expressly stated for that product at purchase. The Company does not guarantee sales, leads, profits, clicks, views, or impressions beyond the express terms of the purchased product.

Fees and purchased credits are subject to the final-sale and no-refund rule in Section 4. If the Company declines or deletes a credit-funded campaign or creative before it runs, unspent credits may be restored to the member’s internal credit balance under the product’s rules; restoration of platform credits is not a cash refund.

8. Responsibility of website visitors

If you are under eighteen (18), you may use the website only with the involvement of a parent or guardian; membership accounts are limited as stated in Section 1. Xyngenta has not reviewed, and cannot review, all material, including computer software, posted to the website and cannot be responsible for all posted material’s content, use, or effects. Operating the website does not mean Xyngenta endorses posted material or believes it to be accurate, useful, or non-harmful.

You are responsible for taking precautions to protect yourself and your computer systems from viruses, worms, Trojan horses, and other harmful or destructive content. The website may contain content that is offensive, indecent, or otherwise objectionable, as well as content containing technical inaccuracies, typographical mistakes, and other errors. The website may also contain material that violates privacy or publicity rights, infringes intellectual-property or other proprietary rights, or is subject to additional terms. Xyngenta disclaims responsibility for harm resulting from visitors’ use of the website or downloading of posted content, to the extent permitted by law.

9. Content posted on other websites

We have not reviewed, and cannot review, all material made available through websites and webpages to which Xyngenta.com links and that link to Xyngenta.com. Xyngenta does not control non-Xyngenta websites and webpages and is not responsible for their contents or use. Linking to a non-Xyngenta website or webpage does not represent or imply that Xyngenta endorses it. You are responsible for taking precautions against harmful or destructive content. Xyngenta disclaims responsibility for harm resulting from your use of non-Xyngenta websites and webpages, to the extent permitted by law.

10. Copyright infringement

As Xyngenta asks others to respect its intellectual-property rights, it respects the intellectual-property rights of others. If you believe material located on or linked to Xyngenta.com violates your copyright, notify Xyngenta at support@xyngenta.com. Xyngenta will respond to notices as required or appropriate, including by removing infringing material or disabling links to it. Xyngenta may terminate or deny access to a visitor who infringes or repeatedly infringes copyrights or other intellectual-property rights of Xyngenta or others. In the event of such termination, Xyngenta will have no obligation to refund amounts previously paid, except where required by law.

11. Intellectual property

This Agreement does not transfer from Xyngenta to you any Xyngenta or third-party intellectual property. All right, title, and interest in such property will remain, as between the parties, solely with Xyngenta or the applicable third party. Xyngenta.com, the Xyngenta.com logo, and all other trademarks, service marks, graphics, and logos used in connection with Xyngenta, Xyngenta.com, or the website are trademarks or registered trademarks of Xyngenta or its licensors. Other trademarks, service marks, graphics, and logos used in connection with the website may be trademarks of other third parties. Your use of the website grants you no right or license to reproduce or otherwise use any Xyngenta or third-party trademark except as expressly authorized.

12. Changes

Xyngenta reserves the right, at its sole discretion, to modify or replace any part of this Agreement. It is your responsibility to check this Agreement periodically for changes. Your continued use of or access to the website following the posting of changes constitutes acceptance of those changes. Xyngenta may also offer new services or features through the website, including new tools and resources. Such new features and services are subject to this Agreement.

13. Breach of contract procedures

A. Conditional obligations. The Company’s obligations to a member are conditioned on the member’s faithful performance of this Agreement. The Company, in its sole discretion consistent with applicable law, will determine whether a member is in breach and may elect any or all available remedies.

B. Remedies. In the event of breach, the Company may elect to take no action or to exercise some or all contractual remedies and remedies at law or in equity, including:

  1. Notify the member in writing or verbally of the breach and provide an opportunity to cure where cure is reasonably possible.
  2. Require additional assurances of future compliance.
  3. Withhold or deny recognition and attendant benefits.
  4. Assess damages and withhold them from commission payments.
  5. Suspend member rights temporarily or permanently.
  6. Seek injunctive relief.
  7. Terminate the Agreement.
  8. Seek damages and associated costs.

C. Reporting breaches. A member who observes another member’s violation shall submit a written complaint to the Company’s support department by email. To avoid disruption from stale claims, a complaint for breach other than cross-company recruiting should be brought to the Company’s attention within eighteen (18) months after the start of the alleged violation, and a cross-company recruiting complaint within six (6) months. Failure to report within those periods may result in the Company not pursuing the allegation, but does not waive the Company’s right to investigate or discipline a member found to have committed a violation.

14. Termination

Xyngenta may suspend or terminate your access to all or part of the website at any time for breach, fraud, abuse, nonpayment, security or legal risk, or another cause permitted by law, with or without notice where immediate action is reasonably necessary. Xyngenta may discontinue the website or a service as part of a general shutdown.

If you wish to end your membership, cancelling a paid subscription through the billing portal or support and discontinuing use of the website will end future participation, subject to the billing and matrix rules in Section 5. Merely discontinuing use of the website does not cancel a recurring subscription.

All provisions of this Agreement that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, offsets, and limitations of liability.

Effects of termination for breach.

  1. A member whose Agreement is terminated by the Company for breach must wait six (6) months before applying for a new membership. During that time, the member may have no beneficial interest in another member account.
  2. Upon termination, all rights in and to the terminated member position and business are revoked. To the extent permitted by law and in acknowledgment of damages the Company may suffer from the breach, unpaid commissions may be offset against those damages or forfeited.
  3. The Company may reorganize the downline organization of a member terminated for breach in a manner that serves the legitimate interests of the Company and the affected organizations, subject to the matrix rules in Section 5.
  4. Where a terminated position has more than one beneficial-interest holder, the departing holder must relinquish all rights and interests in the position. The Company is not required to divide or reassign the downline organization or split commissions between prior and current beneficial-interest holders.

15. Disclaimer of warranties

The website is provided “as is.” Xyngenta and its suppliers and licensors disclaim all warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Neither Xyngenta nor its suppliers or licensors warrants that the website will be error-free or that access will be continuous or uninterrupted. You understand that you download from, or otherwise obtain content or services through, the website at your own discretion and risk.

16. Limitation of liability

In no event will Xyngenta, or its suppliers or licensors, be liable with respect to any subject matter of this Agreement under any contract, negligence, strict-liability, or other legal or equitable theory for: (i) any special, incidental, or consequential damages; (ii) the cost of procurement of substitute products or services; (iii) interruption of use or loss or corruption of data; or (iv) any amounts that exceed the fees paid by you to Xyngenta under this Agreement during the twelve (12) month period before the date the cause of action accrues. Xyngenta shall have no liability for failure or delay due to matters beyond its reasonable control. The foregoing shall not apply to the extent prohibited by applicable law.

17. General representation and warranty

You represent and warrant that (i) your use of the website will be in strict accordance with the Xyngenta Privacy Policy, this Agreement, and all applicable laws and regulations, including local laws regarding online conduct and acceptable content and laws regarding transmission of technical data exported from the United States or the country in which you reside; and (ii) your use of the website will not infringe or misappropriate the intellectual-property rights of any third party.

18. Indemnification

You agree to indemnify and hold harmless Xyngenta, its contractors, and its licensors, and their respective directors, officers, employees, and agents from and against any and all claims and expenses, including attorneys’ fees, arising out of your use of the website or your violation of this Agreement.

19. Severability

If any term or condition of this Agreement is judicially invalidated, prohibited, or otherwise rendered unenforceable in any jurisdiction, it is unenforceable only to the extent of the invalid, prohibited, or unenforceable provision in that jurisdiction. It will not render unenforceable or invalidate any other provision or render the Agreement unenforceable or invalid in another jurisdiction. An unenforceable provision may be partly enforced to the maximum extent enforceable under law.

20. Force majeure

The Company is not liable for damages or losses caused by delay or inability to operate the website, process orders, or provide products or services due to labor strikes, accidents, fire, flood, acts of civil authority, acts of God, terrorism, infrastructure or provider failures, or other causes beyond the Company’s reasonable control.

21. Governing law and arbitration

The State of North Carolina is the place of origin of this Agreement and where the Company accepted the offer of an applicant to become a Free member, Silver Partner, or Gold Partner and where the member entered into the Agreement with the Company. The Agreement is therefore to be construed in accordance with the laws of the State of North Carolina, without giving effect to any conflict-of-law provision or rule, as to contracts made and to be wholly performed within the State. Any controversy or claim arising out of or relating to this Agreement or its breach, or any controversy or claim relating to business relationships between Free members, Silver Partners, or Gold Partners, shall be resolved by mandatory, final, binding, non-appealable arbitration in Guilford County, North Carolina, United States of America.

22. Attorneys’ fees

If any suit, action, or proceeding is brought to enforce any term or provision of this Agreement, the prevailing party shall be entitled to recover reasonable attorneys’ fees, costs, and expenses incurred, in addition to any other relief to which that party may be legally entitled, subject to the arbitration provision in Section 21.

23. Successors and assigns

This Agreement will be legally binding upon and inure to the benefit of the heirs, devisees, executors, administrators, personal representatives, successors, and assigns, as applicable, of the respective parties.

24. Miscellaneous and related policies

This Agreement constitutes the entire agreement between Xyngenta and you concerning the subject matter hereof. It may be modified only by a written amendment signed by an authorized executive of Xyngenta or by Xyngenta posting a revised version as provided in Section 12.

This Agreement will be binding upon account activation and will inure to the benefit of the parties and their successors and permitted assigns.
